Terms and Conditions for Use of FridayGPT

​

1. Definitions 1.1 "FridayGPT" refers to the proprietary software product developed by TowardsChange and patented under INPI France with number 4981299

1.2 "Customer France" refers to the entity granted access to FridayGPT for commercial distribution under a white-label agreement.

1.3 "Source Code" refers to the underlying codebase of FridayGPT, including but not limited to its architecture, algorithms, documentation, and design.

1.4 "Commercial Use" means any use of the source code or derived components to create, market, sell, or distribute products or services for profit.

1.5 "Intellectual Property Rights" refer to all existing and future rights, including copyrights, patents, trademarks, trade secrets, and any other proprietary rights recognized by applicable law.

2. Ownership of Intellectual Property

2.1 All Intellectual Property Rights in and to FridayGPT, including its source code, trademarks, and related documentation, remain solely with TowardsChange. Nothing in this agreement shall transfer or assign any Intellectual Property Rights to Customer France.

2.2 The use of the FridayGPT brand and source code by Customer France is strictly limited to the scope of the white-label agreement and subject to the conditions set forth herein.

3. Restrictions on Use of Source Code

 

3.1 Customer France acknowledges that while access to the source code is granted for operational purposes under the white-label agreement, such access does not grant the right to:

• Modify, reproduce, or adapt the source code for any purpose beyond the agreed-upon terms;

• Use the source code to develop, create, or distribute derivative works or competing products;

• Transfer, sublicense, or otherwise make the source code available to any third party.

3.2 Customer France is strictly prohibited from selling, distributing, or otherwise making the FridayGPT product available under any brand or capacity in any territories of the United Nations without explicit written consent from TowardsChange.

3.3 Any attempt to reuse the source code, either partially or fully, for Commercial Use without prior written consent from TowardsChange constitutes a material breach of this agreement and an infringement of Intellectual Property Rights.

 

4. Brand Protection

4.1 The trademarks, service marks, logos, and branding associated with FridayGPT remain the exclusive property of TowardsChange. Customer France may only use these marks as explicitly permitted within the scope of the white-label agreement.

4.2 Unauthorized use of the FridayGPT brand or any related intellectual property for any purpose is strictly prohibited and may result in legal action.

5. Confidentiality

​

5.1 Customer France agrees to treat the source code, documentation, and any proprietary information related to FridayGPT as confidential. This includes:

• Preventing unauthorized access or disclosure;

• Ensuring that employees, contractors, and partners comply with confidentiality obligations.

5.2 Confidentiality obligations shall survive the termination or expiration of this agreement.

 

6. Enforcement and Remedies

6.1 In the event of unauthorized use or disclosure of FridayGPT’s source code or Intellectual Property, TowardsChange reserves the right to pursue all available remedies, including but not limited to:

• Injunctive relief to prevent further unauthorized use;

• Monetary damages for losses incurred;

• Termination of the white-label agreement.

6.2 Customer France shall indemnify and hold TowardsChange harmless against any third-party claims arising from its breach of these terms.

 

7. Governing Law and Jurisdiction

7.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of France.

7.2 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Paris, France.

 

8. Entire Agreement

 

8.1 These Terms and Conditions, together with the white-label agreement, constitute the entire agreement between TowardsChange and Customer France concerning the use of FridayGPT. No amendments or modifications shall be valid unless made in writing and signed by both parties.

 

9. Severability

 

9.1 If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Acknowledgment and Acceptance By accessing and using the FridayGPT source code and brand under the white-label agreement, Customer France acknowledges and agrees to these Terms and Conditions.
